Welcome to Westlab Ltd Website, our other Platforms and Services Terms and Conditions for use.
These Terms and Conditions apply to the use of this Website, our other Platforms, our Services and ordering our Products. By accessing and/or placing an order you agree to be bound by the Terms and Conditions set out below. If you do not agree to be bound by these Terms and Conditions, you may not use or access this Website, our Platforms, Services and/or order our Products.
We are Westlab Ltd (company registration number 05214492) of Unit 57 Dunsfold Park, Stovolds Hill, Cranleigh, Surrey, England, GU6 8TB.
1. Ordering
By placing an order for our Products, you agree to give:
Your real name
Your e-mail address
Your billing address
A delivery address
A contact phone number (so we and/or our agents can contact you about your order)
If the technology fails us or we make a genuine mistake, your order attempt may be unsuccessful. We will do everything we can to resolve this. Once you have placed an order, you will receive a confirmation e-mail. If something is not in stock, we will let you know as soon as possible after the order has been placed.
Once you are ready to check out, you will be directed to the shipping confirmation page where you may select the type of delivery, and the delivery and/or billing addresses.
After placing your order you will receive an automated acknowledgement.
2. Need to return something to us?
Please contact our Customer Care team at customercare@Westlabgroup.com who will be happy to advise you how best to proceed.
Our Customer Care services hours are: 9:30am-4:30pm Monday-Friday (excluding bank holidays in England).
If you change your mind about your order or Products, you have 14 days from the day of delivery to cancel your order.
Where you have cancelled an order and the Products have already been delivered to you, you should return them to us as soon as possible and in any event no later than 14 days after the day you inform us of your right to cancel.
Where the Products have already been delivered to you, we will process the refund due to you as soon as possible and, in any case, within 14 calendar days after the day on which we receive the returned products, or (if earlier) within 14 calendar days after the day you provide us with evidence that the products were returned to us.
If you are cancelling your order because you've changed your mind, please note that you will have to pay the costs for returning the goods if the goods have already been despatched.
3. Damaged goods
If the Products that you receive are damaged or faulty or do not match the description given at the time of the sale of those Products, please ensure you return them to us within 30 days of receiving them. In this case, you will be offered an exchange or a full refund, after we have received the returned Products. In the event of damaged or faulty products or products that do not correspond to the description given at the time of sale, we will pay for additional postage costs.
Nothing in these Terms and Conditions affects your statutory rights as a consumer.
4. Complaints
If you have a complaint relating to our Terms and Conditions or our Products, we will attempt to resolve the complaint using our internal complaints-handling procedure.
5. Delivery
Standard delivery (£3.55) or free standard delivery in the UK when you spend over £25 on our products. Our current delivery provider is Royal Mail, please note that ongoing strike action may impact your order.
6. Delivery outside of the UK
We can ship orders globally from our Website and Platforms. We will confirm the cost to deliver your products at the checkout but prior placing your order. The delivery cost is determined by a combination of the size and weight of the order and the destination.
Delivery time to overseas destinations will vary depending on the delivery destination.
7. Split delivery
We may split delivery of your order into several parts based on the stock availability. You will not be charged extra for this facility.
8. Law
These Terms and Conditions are governed by English Law and any disputes arising out of any transaction with us are subject to the exclusive jurisdiction of the English Courts. If you are a Consumer, you may elect to bring legal proceedings in your local court.
9. Data protection and privacy policy
Any personal information you provide to Westlab and from which you can be identified is stored securely and confidentially and will be processed fairly and lawfully in accordance with our Privacy Notice.
So that we can deliver your order to you, we will provide your details to our couriers and postal service providers that deliver your order.
10. Events beyond our control
We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under a contract that is caused by events outside our reasonable control (Force Majeure Event).
A Force Majeure Event includes any act, event, non-happening, omission or accident beyond our reasonable control and includes but is not limited to:
Strikes or other industrial action.
Civil commotion, terrorism or threat of, war or threat or preparation for.
Fire, explosion, adverse weather conditions, subsidence, epidemic, pandemic or other natural disaster.
Disruption to supplies or delivery methods.
Acts of government or regulatory bodies.
Disruption to public or private telecommunications networks.
Occasionally, parcels going overseas may be delayed at customs control when entering your country. This is beyond our control and we cannot be responsible for the late arrival of parcels detained in this way.
11. Arrangements
After placing your order you will receive an automated acknowledgement by email. Please note that this does not mean that your order has been accepted. All orders are subject to acceptance by us, and we will confirm acceptance to you by confirming that your order has been dispatched.
Once we accept your order, a contract to purchase and deliver products takes effect between you and Westlab. You pay the sum that you see at the end of the checkout process, together with the delivery. Upon receipt of your order for the products you will be charged for the products and the delivery costs.
Products will be at your sole risk from the time of delivery to you.
12. The Contract
When we confirm acceptance of your order by confirming the products have been despatched a legally binding contract will exist between us. If we do not confirm acceptance we will refund your payment.
Your order constitutes an offer to us to buy a product. If we believe a customer acts against these Terms and Conditions, we reserve the right to cancel or suspend their order.
This includes non-payment of ordered products and fraudulent use of our website and/or sales. We also reserve the right to bar certain e-mail addresses and telephone numbers from accessing our website to place orders. We will not accept an order from any customer who we have suspended.
Ownership of the Products will only pass to you when we have received full payment.
A person who is not party to the contract shall not have any rights under or in connection with it.
13. Resale
By ordering from our Website and Platforms, you agree not to commercially resell any of our products. Commercially reselling our products is a breach of these Terms and Conditions and your agreement with us.
14. Payment
Payment will be taken in GB pounds (£), and if applicable, your card will be charged according to the exchange rate at that time.
15. Prices and VAT
Our prices, as stated on our website, are in pound sterling (£) and include VAT, where applicable. You will be charged in pounds sterling even if you don't live in the UK. We reserve the right to alter prices at any time. Overseas orders may incur bank charges for international transactions. Please note that offers are subject to availability and may end before originally advertised.
16. Customs
Products delivered to destinations outside the UK may be subject to taxes, fees, levies or other charges as a result of local legislation or customs formalities and we advise that you check the import charges applicable before ordering Products to be delivered there.
You (or the recipient of the products if different) will be the importer for all international deliveries of the Products. Therefore, before placing an order, it's your responsibility to check that any Products ordered comply with state and federal government import regulations, and that there are no local requirements or restrictions which may affect receipt of your order.
17. Variation
We may vary these Terms and Conditions from time to time. If we do, we will replace these Terms and Conditions on our Website with our new terms and conditions.
18. Intellectual Property and Right to Use
You acknowledge and agree that all copyright, trademarks and all other intellectual property rights in all material or content supplied as part of our Website, Platforms and Services shall remain at all times vested in Westlab or our licensors. You are permitted to use this material only as expressly authorised by us or our licensors.
You agree not to (and agree not to assist or facilitate any third party to) copy, reproduce, transmit, publish, display, distribute, commercially exploit or create derivative works of such material and content.
19. Compliance with Laws
Our Website, Platforms and Products may be used only for lawful purposes and in a lawful manner. You agree to comply with all applicable laws, statutes and regulations and any transactions conducted on or through the Website and or Platforms.
20. Limitation of Liability
While we will use reasonable endeavours to verify the accuracy of any information we place on our Website and Platforms, we make no warranties, whether express or implied in relation to its accuracy. Our content is provided on an "as is" and "as available" basis without any representation or endorsement made and we make no warranties of any kind, whether express or implied, in relation to our content, or any transaction that may be conducted on or through our Website and Platforms including but not limited to, implied warranties of non-infringement, compatibility, security, accuracy, conditions of completeness, or any implied warranty arising from course of dealing or usage or trade.
We make no warranty that our Website and Platforms will meet your requirements or will be uninterrupted, timely or error-free, that defects will be corrected, or that the site or the server that makes it available are free of viruses or bugs or represents the full functionality, accuracy, reliability of our Website and Platforms. We will not be responsible or liable to you for any loss of content or material uploaded or transmitted through our Website and/or Platforms.
To the fullest extent permissible under applicable law, we disclaim any and all warranties of any kind, whether express or implied, in relation to the Products. This does not affect your statutory rights as a consumer, nor does it affect your contract cancellation rights.
We will not be liable, in contract, tort (including, without limitation, negligence), pre-contract or other representations (other than fraudulent or negligent misrepresentations) or otherwise out of or in connection with the Terms and Conditions for:
- any economic losses (including without limitation loss of revenues, profits, contracts, business or anticipated savings); or
- any loss of goodwill or reputation; or
- any special or indirect losses
suffered or incurred by that party arising out of or in connection with the provisions of any matter under the Terms and Conditions.
Nothing in the Terms and Conditions shall exclude or limit our liability for death or personal injury resulting from our negligence or that of our servants, agents or employees.
21. Severance
If any part of the Terms and Conditions shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed to be severable from the Terms and Conditions and shall not affect the validity and enforceability of any of the remaining provisions of the Terms and Conditions.
22. Waiver
No waiver by us shall be construed as a waiver of any proceeding or succeeding breach of any provision.
23. Survival
Each provision of the Terms and Conditions shall be construed as separately applying and surviving even if for any reason one or other of those provisions is held to be inapplicable or unenforceable in any circumstances.
24. Interactive Features
We may from time to time provide certain features which allow you to interact through our Website and Platforms. We may remove content in contravention of these Terms and Conditions.
25. Content Standards
These content standards apply to any and all material which you contribute to our Website/Platforms/Services ("Contributions"), and to any interactive services associated with it. You must comply with the following standards. Contributions must be accurate (where they state facts), be genuinely held (where they state opinions) and comply with applicable law.
Contributions must not:
- contain any material which is defamatory, obscene, offensive, hateful or inflammatory, promote sexually explicit material or promote violence or promote discrimination based on race, sex, religion, nationality, disability, age, or sexual orientation;
- infringe any copyright, database right or trademark of any other person;
- be likely to deceive any person or be made in breach of any legal duty owed to a third party, such as a contractual duty or a duty of confidence or promote any illegal activity;
- be threatening, abuse or invade another's privacy, or cause annoyance, inconvenience or needless anxiety or be likely to harass, upset, embarrass, alarm or annoy any other person;
- be used to impersonate any person, or to misrepresent your identity or affiliation with any person or give the impression that they emanate from us, if this is not the case; or
- advocate, promote or assist any unlawful act (e.g. copyright infringement or computer misuse).
26. Suspension and Termination
Failure to comply with these Terms and Conditions, may result in our taking all or any of the following actions:
- immediate, temporary or permanent withdrawal of your right to use our Website and Platforms;
- immediate, temporary or permanent removal of any posting or material uploaded by you to our Website/Platform;
- us issuing a warning;
- legal action against you including proceedings for reimbursement of all costs on an (including, but not limited to, reasonable administrative and legal costs) resulting from the breach;
- disclosure of such information to law enforcement authorities as we reasonably feel is necessary.
The responses described above are not limited, and we may take any other action we consider appropriate.
27. Reliance
Commentary and other materials posted on our Website and Platforms are not intended to amount to advice on which reliance should be placed. We therefore disclaim all liability and responsibility arising from any reliance placed on such materials by any visitor to our Website/Platforms, or by anyone who may be informed of any of its contents.
28. Updates
We may update our Terms and Conditions, Website and Platforms and may change the content at any time. If the need arises, we may suspend access to our Website and Platforms, or close them indefinitely.
